1. Agreement to Terms

By accessing or using the website, services, or Penough Academy provided by Penough Ltd., you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our platforms or utilize our services.

2. Cybersecurity Services and Rules of Engagement

All offensive security services, including penetration testing and vulnerability assessments, are subject to a separate, explicitly signed Rules of Engagement (RoE) and Non-Disclosure Agreement (NDA). These Terms do NOT authorise you to conduct independent security testing, scanning, or probing against our infrastructure.

3. Intellectual Property Rights

The content, features, and functionality of our platform — including but not limited to text, graphics, logos, proprietary risk metrics, and Academy course materials — are owned by Penough Ltd. and are protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without explicit written permission.

4. User Obligations

When interacting with our digital presence, you agree NOT to:

• Engage in unauthorized vulnerability scanning, exploitation, or DDOS attacks directed at our domains.
• Attempt to bypass access controls or authentication mechanisms.
• Submit false, misleading, or malicious data through our contact or academy portals.
• Utilize our educational materials for malicious or illegal activities. Academy knowledge is provided strictly for defensive purposes and authorized research.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Penough Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service.
• Any unauthorized access to or use of our secure servers and/or any personal information stored therein.
• Any interruption or cessation of transmission to or from our services.

6. Third-Party Links

Our service may contain links to third-party web sites or services that are not owned or controlled by Penough Ltd. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party web sites or services.

7. Indemnification

You agree to defend, indemnify, and hold harmless Penough Ltd., its contractors, employees, agents, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of and access to the Service, or from your violation of these Terms.

8. Service Availability & Force Majeure

While we strive for maximum uptime, Penough Ltd. assumes no liability for service interruptions, data loss, or delays caused by circumstances beyond our reasonable control, including but not limited to natural disasters, telecom failures, cyber-attacks on core internet infrastructure, or governmental actions.

9. Governing Law & Jurisdiction

These Terms and your use of our platforms are governed by and construed under the laws of Bangladesh, including the Digital Security Act (DSA) 2018 and Personal Data Protection Act (PDPA), without regard to conflict of law principles. Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the federal or state courts located in Dhaka, Bangladesh.

10. Dispute Resolution & Class Action Waiver

You agree that any dispute arising from our services shall be resolved on an individual basis. You explicitly waive the right to participate in a class-action lawsuit, class-wide arbitration, or any other representative action against Penough Ltd.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify these Terms at any time. By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms.
